THE COMPANIES (FEES PAYABLE TO THE REGISTRAR (AMENDMENT) REGULATIONS, 2026
On the 30th of June,2026 the Government of Tanzania vide G.N 158M Published the Companies (Fees Payable to the Registrar) (Amendment) Regulations,2026 which effectively amends the Schedule to the Companies Act (Fees Payable to the Registrar) Regulations, 2014 by introducing a new fee structure for company registration and various corporate compliance services.
Changes at a Glance
The Amendment Regulations review fees payable to the Registrar upwards for a broad range of services as follows:
Charges for the registration of Companies will now reflect a graduated structure based on the nominal share capital.
The Registration of companies with high capital thresholds scaled up to TZS. 1,000,000 where nominal capital exceeds TZS. 10 billion.
Name Reservation pegged at 50,000
Annual returns and filing of other ordinary statutory filings are TZS. 22,000
Registration of Charges graduated to reflect the Secured Amount(s).
Part XII Companies now face high filing fees, including TZS 2 million for Certified Constitutional documents.
In a snapshot the Government Notice No. 158M upon taking effect on the 1st of JUly,2026 replaced the fee schedule under the Companies Act [Cap 212 R.E.2023] in its entirety.
